By installing this software, you acknowledge that have read this license agreement, understand it, and agree to be bound by its terms and conditions. You also understand that this license agreement is the complete and exclusive statement of the agreement between the parties and supersedes all proposals or prior agreements, oral or written and any other such communications between the parties relating to the subject matter of this license agreement.
GRANT OF LICENSES
ARDEN TECHNOLOGIES, INC grants to you the right to use one copy of the software program (hereafter referred to as "SOFTWARE") on any single computer provided it is in use on only one computer at any time. If you have multiple Licenses for the SOFTWARE, then at any time you may have as many copies of the SOFTWARE in use as you have Licenses. The SOFTWARE is "in use" on a computer when it or any portion of it is loaded into the temporary memory (RAM) of the computer. If installed on a network, then you must have a reasonable mechanism in place to ensure that the number of copies concurrently in use does not exceed the number of Licenses.
OTHER RESTRICTIONS
You may not rent or lease the SOFTWARE, but you may transfer the SOFTWARE and accompanying written materials on a permanent basis provided you retain no copies and the recipient agrees to the terms of this Agreement. You may not reverse engineer, decompile, disassemble, modify or change the mode of operation in any way of the SOFTWARE. You may not copy the written materials accompanying the SOFTWARE.
OWNERSHIP AND COPYRIGHT
The SOFTWARE is owned by ARDEN TECHNOLOGIES, INC. You do not acquire any title to or ownership of the Licensed Product, Licensed Materials or copies thereof Pursuant to this License Agreement. This License Agreement constitutes merely a license to use the Materials and copies thereof.
The forgoing warranties are in lieu of all other warranties, expressed or implied, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Neither ARDEN TECHNOLOGIES, INC nor authorized dealer warrants that the functions contained in the licensed product will meet your requirements or that the operation of the licensed product will be uninterrupted or error free. You hereby assume responsibility for the selection of the licensed product to achieve its intended results and for the installation, use and end results obtained from the licensed product.
You acknowledge that no promise, representation or warranty or undertaking has been made or given by the authorized dealer or by any other person in relation to the profitability or any other consequences or benefits to be obtained from the delivery or use of the Licensed Product or as to their merchantability or fitness for any purpose or purposes and that you have relied upon your own skill and judgment in deciding to use the Licensed Product.
Should you in any way modify the Licensed Product, neither ARDEN TECHNOLOGIES, INC nor authorized dealer will be responsible for the performance of such modifications or for the compatibility of such modified product with any equipment, future releases, enhancements, tests, diagnostics or engineering change orders.
LIMITATIONS OF LIABILITY
ARDEN TECHNOLOGIES, INC's total liability arising out of this License Agreement shall be limited to the total fees paid at the time of purchase of the License Agreement. Under no circumstances shall ARDEN TECHNOLOGIES, INC be liable for loss of profit or any other consequential, incidental or special damages or injuries arising directly or indirectly out of the supply or use of, or inability to use, the licensed product or any failure by dealer to perform any obligation or observe any terms of this license agreement, even if the dealer has been advised of the possibility of such damages or injuries, or for any claim by any other party.
The laws of the State of Virginia shall govern this License Agreement.
